On the 19th, it was learned from the State Administration for Market Regulation that the State Administration for Market Regulation has recently revised the "Provisions on the Prohibition of Monopoly Agreements", clarifying the market share standards and other conditions that vertical monopoly agreements that are not prohibited must meet, and will come into effect on February 1, 2026. According to the Anti Monopoly Law, vertical monopoly agreements reached by operators whose market share is below a certain standard and meets relevant conditions are not prohibited. In order to clarify market share standards and conditions, stabilize market expectations, and maintain fair competition in the market, the State Administration for Market Regulation has carefully studied and evaluated, and solicited opinions from multiple parties. Based on the manifestations and harmful consequences of different types of vertical monopoly agreements, differentiated standards and conditions have been set up to make the rules more precise, targeted, and effective. According to the new regulations, for vertical agreements that fix or limit the resale price of goods, if the operator's market share in the relevant market during the agreement period is less than 5%, and the turnover of the goods involved in the agreement is less than 100 million yuan, it shall not be prohibited; For other vertical agreements, if the operator's market share in the relevant market during the agreement period is less than 15%, it shall not be prohibited and there shall be no revenue conditions. The State Administration for Market Regulation stated that setting market share standards and conditions for vertical monopoly agreements that are not prohibited, clarifying identification criteria, and unifying enforcement standards, will help operators clarify the boundaries of legal competition and release more flexible development space for small and medium-sized enterprises.
